•    A LL.M. in tax and 7+ years experience practicing in mergers & acquisitions, securities and transactional matters.

•    Significant experience advising issuers, officers and directors, partnerships and limited liability companies regarding tax issues related to transaction structure, executive compensation and equity awards.

•    Experience dealing directly with, and providing counsel to, clients, experience drafting tax language for operating agreements, private placement memorandums and employment agreements.
