Randal M. Kirk

Mr. Kirk’s practice encompasses a wide range of corporate and securities law matters and strategic planning.   He manages contract strategies and prepares agreements for asset management, enterprise resource and logistics solution providers,  and for licensing of  proprietary products, processes, containers and other special use assets,  integrated or bundled technologies, proprietary and branded label custom manufacturing of chemical products asset management and technology  solution licensing, and supply chain and distribution contracts. 

Previous transactions have included joint ventures for the launch of new enterprises  now pursuing innovative solutions for air cargo ULD management and asset tracking (Jettainer GmbH/ Lufthansa); a technology enabled asset tracking solution for the healthcare industry (Agility Healthcare Solutions), and ongoing contract management for companies deploying or licensing the use of  specialized containers for transport of food, beverage, household goods and polymeric materials to customers on a worldwide basis to end users including major brewers, Bridgestone Firestone Diversified Products and Kraft foods.

Commercial Financing for related transactions has included funding provided by Trust Company of the West, The Royal Bank of Scotland plc, Lloyds TSB Bank plc, Bank of America, Technology Investment Capital Corp, Charter One Bank NA, PNC Bank NA and Carlyle Group.  

Mr Kirk has also represented issuers of securities in private and public equity offerings and in connection with ongoing compliance and reporting obligations under state and federal securities laws and the rules and regulations of national stock exchanges.
